• You are responsible for maintaining the confidentiality of any account credentials and for all activities conducted under your account.

• You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and guidelines.

• PlugWay reserves the right to suspend or terminate access to the Services if you violate these Terms or misuse the Services.

3. Products and Services

PlugWay provides integrated infrastructure and advisory services, including but not limited to:

• EV charging infrastructure (hardware, software, installation, and operations)

• Solar power systems and EPC services

• Energy Management Systems (EMS) and load optimization

• Sustainability consulting, including LEED and green building certifications

• Commercial deployment models including CAPEX, OPEX, Zero-OPEX, Revenue-Share, and Consultancy-only engagements

Service specifications, availability, pricing, and timelines may vary by site and are subject to change unless contractually agreed otherwise.

4. Orders, Proposals, and Engagements

All proposals, orders, and commercial engagements are subject to acceptance by PlugWay.

• PlugWay reserves the right to modify, reject, or cancel any order or proposal at its discretion.

• Detailed commercial terms (pricing, ownership, revenue sharing, SLAs, warranties, etc.) will be governed by separate written agreements where applicable.

5. Payment and Billing

• You agree to pay all applicable fees as communicated in proposals, invoices, or agreements.

• Unless expressly stated otherwise in writing, all payments are non-refundable, except where required by applicable Indian law.

• PlugWay reserves the right to revise pricing or fee structures with prior notice where legally required.

6. Intellectual Property

• All content, trademarks, logos, software, designs, documentation, and intellectual property associated with the Services are the exclusive property of PlugWay EV Pvt. Ltd. or its licensors.

• You may not copy, reproduce, distribute, or create derivative works from PlugWay’s content without prior written permission.

7. Third-Party Services

PlugWay’s Services may integrate with or reference third-party platforms, utilities, or service providers. PlugWay is not responsible for the performance, availability, or practices of such third-party services, which are governed by their respective terms.

8. Limitation of Liability

To the maximum extent permitted under Indian law:

• PlugWay shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

• PlugWay’s total aggregate liability for any claim related to the Services shall not exceed the total fees paid by you to PlugWay in the twelve (12) months preceding the event giving rise to the claim.

9. Warranty Disclaimer

All Services are provided on an “as is” and “as available” basis.

PlugWay disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted operation, error-free performance, or specific commercial outcomes.

9. Indemnification

You agree to indemnify and hold harmless PlugWay EV Pvt. Ltd., its directors, officers, employees, and partners from any claims, losses, liabilities, or expenses arising from your violation of these Terms or misuse of the Services.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.
The courts located in [Faridabad, Haryana] shall have exclusive jurisdiction over any disputes arising from these Terms.

12. Changes to Terms

PlugWay may update these Terms from time to time. Updated versions will be posted on this page with a revised “Last Updated” date. Continued use of the Services after such changes constitutes acceptance of the revised Terms.
